This Virtual Office Service Agreement (the "Agreement") is entered into between HARBOR PRIVATE LIMITED ("vofficesingapore.com" or "we" or "us") and the customer ("you" or "your"), and governs the use of our virtual office services.

1. Services, Beneficiary and Responsibility

The services include a virtual office address, mail and courier handling, and other related services, as described on our website or otherwise communicated by us.

The virtual office service is provided to the company associated with the subscription, regardless of the account holder who made the purchase.

Where a subscription is purchased or managed by a third party (including but not limited to a corporate secretary, employee, or agent), such party acts solely as an intermediary and does not replace the company as the service recipient.

The company and its officers (including directors) remain fully responsible for:

• the use of the registered address; and
• compliance with all applicable laws and regulations.

The use of our address is strictly subject to a valid and active subscription for the specific company. Any use without a valid subscription constitutes unauthorised use.

We reserve the right to communicate directly with the company and/or its officers using official records where necessary for compliance, enforcement, or regulatory purposes.

2. Subscription

Each subscription applies to one specific company only, and the use of the address is strictly tied to that company.

The address must not be used or shared with any other company without a valid subscription.

Any unauthorised use of the address, including use by other entities or continued use after subscription expiry, may result in:

• immediate suspension or termination of all services for the customers and companies involved;
• imposition of an administrative charge of S$30 per violation, in addition to the applicable subscription fees, as a reasonable fee for administrative handling and compliance-related costs; and
• any further enforcement or reporting actions as required under applicable laws and regulations.

3. Expiration of Subscription

Upon expiration/termination, you must update all registered addresses (ACRA, banks, etc.) previously using our address. This applies whether you are acting as company staff, owner, or service provider.

Failing to do so will incur subscription/administrative charges and may cause all services under your account to be suspended or terminated.

Mail received for non-subscribed entities will be refused or returned, and handling fees may apply. Uncollected mail after 30 days from subscription expiry will be disposed of without liability.

4. Termination of Services

We may suspend or terminate services immediately, without refund, if:

• Your company or related parties disrupt normal operations (e.g., harassment by creditors), or
• You breach any terms, fail to pay fees, or fail compliance checks.

5. Prohibited Items

You agree to use the virtual office services in a responsible and reasonable manner. The address must not be used for:

• Bulky/heavy items (over 25×34×26cm or 10kg)
• Food, health products, drugs, hazardous or illegal items without proper licence
• Personal deliveries (only postal/courier accepted)

We may reject or return any such items without liability.

6. Compliance and Information Disclosure

To comply with the requirements under the Corporate Service Providers Regulations 2025 (Singapore) and any future regulations, you agree to provide complete and accurate information as requested by us from time to time, including but not limited to:

• Personal particulars;
• Details of all officers and shareholders; and
• Company-related documents (e.g., BizFile, registration filings, or any equivalent records issued by ACRA, ROS, MOM, or other authorities).

Such information must be provided by you:

• Before the commencement of services; and
• Within seven (7) calendar days of any request during the service period, unless a legally valid reason is provided and accepted by us.

We may update our compliance requirements at any time without prior notice to reflect changes in laws, regulations, or internal risk management policies. Failure to provide the requested information, or any breach of Singapore laws/regulations or relevant international frameworks (including but not limited to UN sanctions, UNSC, FATF high-risk jurisdictions, AML/CFT/CPF obligations), may result in immediate suspension or termination of services, or any other actions deemed necessary for compliance purposes.

7. Confidentiality

We will keep your information confidential, except where disclosure is required by law or necessary for service provision/compliance.

8. Disclaimer of Liability

We are not liable for losses arising from events beyond our control (e.g., natural disasters, government actions, technical failures, or delays/errors by third-party postal or courier services) or from your use/misuse of our services.

In the event that the designated business address becomes unavailable due to loss of lease, regulatory changes, or any circumstance beyond our reasonable control, you will be required to update your registered address to an alternative provided by VOfficeSingapore. Continuity of mail handling and compliance support cannot be guaranteed if the registered address is no longer under our management.

9. Amendments

We may amend this Agreement, the scope or nature of services, service features, operational procedures, or pricing at any time, at our sole discretion, without prior notice.

All such changes will take effect immediately upon being posted on our website or client portal, or otherwise made available to you through reasonable means. Your continued use of our services after such changes constitutes your acceptance of the revised Agreement, scope, features, operational procedures, or pricing.

10. Contact Information and Notices

You are responsible for ensuring that all contact information provided to us, including but not limited to your email address, WhatsApp number, and mailing details registered in the client portal, is accurate, complete, and kept up to date at all times.

All service-related, operational, billing, compliance, regulatory, or termination notices will be sent to the email address registered in your client portal account. Such notices shall be deemed duly delivered and received upon transmission, whether or not actually received, read, or acknowledged by you.

We shall not be responsible for any service interruption, suspension, termination, compliance breach, regulatory exposure, penalties, or losses arising from inaccurate, outdated, or inaccessible contact information provided by you.

Failure to maintain valid contact information may result in suspension or termination of services without refund.

11. Governing Law

This Agreement is governed by Singapore law. Any disputes will be resolved in Singapore courts.

12. Respectful Treatment of Our Staff

All clients must treat our staff with respect. Abusive or inappropriate behaviour may result in refusal of service and termination of subscription.
